Terms and conditions

This is a courtesy translation. The Spanish version is the binding one: if the two differ, the Spanish text prevails. Read the Spanish version.

Last updated: 26 June 2026.

These Terms govern access to, subscription to and use of Fidelyo, a SaaS digital loyalty platform for merchants, local businesses and professionals. By creating an account, subscribing to a plan, starting a free trial or using the platform, you agree to be bound by these Terms.

1. Provider identification

Greenex Consulting LLC, a Limited Liability Company incorporated under the laws of the State of New Mexico, United States.
Registered address: 1209 Mountain Road PL NE STE R, Albuquerque, NM 87110, United States.
Website: getfidelyo.com · Panel: app.getfidelyo.com
Contact: soporte@getfidelyo.com

Hereinafter “Fidelyo”, “we” or “the Provider”. The customer who subscribes to Fidelyo to run its loyalty programme is referred to as the “Merchant”. The individuals who sign up to a loyalty card issued by a Merchant are referred to as “End Customers”.

2. Nature of the service

Fidelyo is a SaaS technology platform that allows Merchants to create, configure and manage digital loyalty programmes (digital cards, QR codes, stamps, points, rewards and similar promotions), including the option for End Customers to add their card to Apple Wallet or Google Wallet.

Fidelyo acts solely as a technology provider. Fidelyo does not sell the Merchant’s products or services, takes no part in the commercial relationship between the Merchant and its End Customers, does not guarantee rewards, does not validate purchase transactions and does not decide the terms of each Merchant’s programme. Fidelyo is not a payment institution, electronic money institution, bank or financial intermediary; points, stamps and rewards are strictly promotional in nature within the programme defined by each Merchant, who is solely responsible for ensuring that its programme does not constitute a regulated payment instrument, a prize draw or an activity subject to administrative authorisation.

3. B2B and international service

Fidelyo is aimed primarily at merchants, self-employed professionals, brands and businesses that subscribe to the platform for their business activity (B2B in nature). End Customers do not contract with Fidelyo: their commercial relationship is with the Merchant that issues the card.

Fidelyo is provided by a United States company and may be subscribed to from different countries. The Merchant is responsible for verifying that its programme, communications and data processing comply with the rules of its territory and sector. Fidelyo may refuse, suspend or cancel programmes that, in its reasonable judgement, create legal, regulatory, tax or reputational risk.

4. Merchant registration and account

The Merchant warrants that the information provided is truthful and up to date, that it has legal capacity to contract, that it will keep its credentials confidential and that it will be responsible for all activity carried out from its account, including that of its internal users (employees, venue managers). Any action by an internal user is deemed to be carried out under the Merchant’s responsibility.

5. Plans, prices and subscription

  • Fidelyo offers a free plan (Free) and paid plans (Basic, Growth, Pro), as well as a tailored Enterprise plan under a specific agreement. The current terms, limits and prices are published at getfidelyo.com/en/#precios.
  • Prices do not include indirect taxes (VAT, sales tax or others), which will be added where applicable. In international B2B transactions, the Merchant is responsible for its own tax obligations (including the reverse charge where applicable).
  • Paid subscriptions renew automatically for the same period (monthly or annual) unless cancelled. The Merchant authorises Fidelyo or Stripe (our payment provider) to charge the recurring amounts.
  • Fidelyo may change prices, plans or features with reasonable prior notice; for substantial price changes to paid plans, we will endeavour to give at least 30 calendar days’ notice, except for changes arising from legal or tax requirements or from third-party providers.

5.1 Free plan

The Free plan is limited by number of customers, users and locations (see details on the pricing page). It is offered with no minimum term and with no guarantee of indefinite availability; Fidelyo may modify, limit or withdraw the free plan at any time, endeavouring to give reasonable prior notice where possible.

5.2 14-day free trial

Paid plans include a 14-day free trial. If a payment method is requested in order to start it, the Merchant authorises Fidelyo or Stripe to automatically charge the amount of the subscribed plan once the trial period ends without cancellation. If the Merchant cancels before the trial ends, no charge will be made, except for additional services that are expressly not free of charge.

6. Payment, non-payment and cancellation

Payment is processed through Stripe. In the event of non-payment, Fidelyo may retry the charge, suspend access, and cancel the account if the non-payment persists for more than 15 calendar days, without prejudice to claiming the outstanding amounts. Suspension for non-payment does not release the Merchant from paying amounts due.

The Merchant may cancel its subscription at any time from the panel or by writing to support. Unless otherwise agreed, cancellation takes effect at the end of the current billing period; amounts already paid are not refunded, except where legally required. Cancellation does not extinguish outstanding payment, confidentiality or intellectual property obligations.

7. Suspension or cancellation by Fidelyo

Fidelyo may suspend or cancel an account where there is reasonable cause: breach of these Terms, non-payment, fraudulent use, security risk, tampering with cards or stamps, spam, infringement of third-party rights, legal requirement or material reputational risk. Where reasonable, we will give notice and an opportunity to remedy; we may act immediately where there is a risk to the platform, other users, End Customers or legal compliance.

8. Merchant responsibility for its programme

The Merchant is solely responsible for defining, publishing and honouring the terms of its loyalty programme: rules for accruing stamps or points, requirements, limits, expiry and how rewards are redeemed; compliance with consumer, promotions and commercial communications rules; the legal bases or consents needed to process its End Customers’ data; and the handling of their complaints. Fidelyo will not be liable for disputes between the Merchant and its End Customers, nor for failure to deliver rewards, errors in promotional terms or changes to the rules decided by the Merchant.

9. Terms for End Customers

By signing up to a loyalty card, the End Customer acknowledges that the card and the programme belong to the corresponding Merchant, that Fidelyo acts only as a technology provider, that rewards depend solely on the Merchant, and that any commercial complaint must be addressed to the Merchant. Deleting the card from Apple Wallet or Google Wallet does not necessarily mean that the associated data is erased from the Merchant’s systems.

10. Communications and acceptable use

The Merchant is responsible for having a valid legal basis to send communications to its End Customers (consent where required, respect for opt-outs and objections, no spam). Fidelyo may block campaigns it considers unlawful or abusive.

The Merchant and its users undertake not to use Fidelyo for illegal or fraudulent activities; to send spam, malware or phishing; to tamper with stamps, points or records; to access third-party systems or data without authorisation; to reverse engineer the platform; to overload it; to extract data on a massive scale; or to create a competing service by copying Fidelyo’s code, design or structure.

11. Dependence on third parties

The operation of Fidelyo depends on external providers (hosting, payment gateway, email, Apple Wallet, Google Wallet, etc. — see Sub-processor list). Fidelyo does not guarantee that Apple Wallet, Google Wallet or other third parties will always be available, will keep their features or will not change their technical policies.

12. Availability and support

Fidelyo makes reasonable efforts to keep the platform available, but does not guarantee uninterrupted availability unless a specific SLA is agreed in writing (for example under an Enterprise plan). Support is provided by email at soporte@getfidelyo.com, with an indicative response time of up to 72 business hours, which does not constitute a guarantee of resolution.

13. Intellectual property

Fidelyo retains all rights to the platform, software, design, brand and documentation. Subscribing transfers no ownership rights to the Merchant; Fidelyo grants a limited, non-exclusive, non-transferable and revocable licence, conditional on payment and compliance with these Terms, to use the platform for the duration of the contract.

The Merchant retains the rights to the content it uploads (logo, texts, trade name) and warrants that it holds the necessary rights to it. The Merchant grants Fidelyo a limited licence to host and display that content solely in order to provide the Service.

14. Data and export

The processing of personal data is governed by the Privacy Policy and, where Fidelyo processes End Customers’ data on the Merchant’s behalf, by the Data Processing Agreement. During the term of the subscription, the Merchant may request a reasonable export of its data. After cancellation, Fidelyo may retain the data for up to 90 days for recovery, legal compliance or defence against claims, and once that period has elapsed may delete or anonymise it, unless there is a legal retention obligation.

15. Confidentiality and security

Both parties will keep confidential any non-public information they access through the use of Fidelyo. Fidelyo applies reasonable technical and organisational measures (encryption in transit, access control, backups) to protect the platform, which does not imply an absolute guarantee against incidents: no system is completely secure.

16. Warranties and limitation of liability

Fidelyo is provided “as is” and “as available”. We do not warrant that the platform will be free of errors, that using Fidelyo will increase sales or repeat visits, that Apple Wallet or Google Wallet will keep their features, or that the programme defined by the Merchant is legally or commercially appropriate.

To the maximum extent permitted by law, Fidelyo will not be liable for indirect damages, loss of profit, loss of business or reputation, claims by End Customers, or penalties arising from the Merchant’s uses or campaigns. Fidelyo’s total aggregate liability to the Merchant for any claim will be limited to the amount actually paid by the Merchant during the three months preceding the event giving rise to the claim. This limitation does not apply in cases of wilful misconduct, fraud or liability that the law does not allow to be excluded.

17. Indemnity

The Merchant undertakes to hold Fidelyo and Greenex Consulting LLC harmless against claims, damages, penalties or costs arising from: the Merchant’s loyalty programme, claims by its End Customers, the Merchant’s regulatory breaches, communications without a sufficient legal basis, content it provides, improper use of the platform or breach of these Terms.

18. Force majeure

Fidelyo will not be liable for delays or interruptions caused by events beyond its reasonable control: natural disasters, internet or provider failures, government acts, cyberattacks, regulatory changes, or Apple/Google failures.

19. Assignment, amendment and severability

The Merchant may not assign its account without Fidelyo’s authorisation; Fidelyo may assign it in the event of a merger, acquisition or sale of business. Fidelyo may update these Terms to reflect legal or service changes, giving reasonable prior notice of substantial changes; continued use after they take effect implies acceptance. If any clause is declared void, the remainder of the Terms will remain in force.

20. Governing law and jurisdiction

These Terms are governed by the laws of the State of New Mexico, United States, without prejudice to the mandatory data protection, consumer or tax rules applicable in the Merchant’s jurisdiction. In B2B transactions, the parties will try to resolve any dispute in good faith before taking legal action; unless a mandatory rule provides otherwise, disputes will be submitted to the courts of Bernalillo County, New Mexico. Fidelyo may nevertheless claim unpaid amounts or protect its intellectual property before the courts of the Merchant’s domicile where it considers this necessary. Nothing in this clause limits the rights available to consumers or data protection authorities under mandatory rules.
